Terms and Conditions for Tidewell

These Terms and Conditions ("Terms") govern your use of Tidewell (the "App"), a club management application for gyms, fitness studios, wellness centres and spas that runs on Wix websites. The App is developed and published by Deniz Uyanık ("we", "us", "our", the "Publisher"). The Publisher is an independent developer. The Publisher is not part of, or affiliated with, Wix.
By installing or using the App you agree to these Terms. If you install the App on behalf of a business, you confirm that you are authorised to bind that business, and "you" means that business.
If you do not agree to these Terms, do not install or use the App.
1. Definitions

Account owner means the person or business that installs Tidewell on a Wix site.
Authorised user means any staff member whom the account owner or a manager adds to Tidewell.
Member means any person whose details are recorded in Tidewell by you, including leads, guests and customers.
Customer Data means all information you or your authorised users enter into, or generate with, the App. This includes member records, agreements, payments, expenses, call notes, schedules, attendance, surveys and reports.
Wix means Wix.com Ltd. and its affiliates. The Wix Terms of Use, the Wix App Market terms and Wix's privacy practices apply in addition to these Terms.

2. What the App does
Tidewell gives your team screens for reception, spa appointments, sales and membership management, digital agreements, cash registers, staff scheduling and performance, housekeeping, workout cards, surveys and reports. It works together with Wix features such as Wix Bookings, Wix Contacts, Wix Members and Wix Automations.
We may add, change or remove features. We will try to tell you in advance about changes that significantly reduce what the App does.
3. Eligibility and your account

You must be at least 18 years old and able to enter into a binding contract.
The site owner of the Wix site becomes the first club manager of Tidewell. Every other user is added by a manager.
You are responsible for everything done under your account and by your authorised users, including the roles and page permissions you give them.
Sign-in is handled by Wix. We never see or store your passwords. Keep your Wix and staff credentials secure, and remove access for people who leave your organisation.
You must give accurate information and keep it up to date.

4. Subscription, fees and billing

The App is a paid app. At the time of writing the price is USD 10 per month or USD 110 per year, [plus applicable taxes]. [Free trial: 30 days.] Current prices are shown on the Wix App Market listing and in your Wix dashboard.
You buy the App through the Wix App Market. Wix processes the purchase, collects the payment and handles renewals, cancellations, returns and chargebacks, under the Wix App Market terms. Wix's billing terms apply. We do not receive or store your payment card details.
You are responsible for any taxes that apply to your purchase, as set out in the Wix App Market terms.
Subscriptions renew automatically until cancelled. You can cancel at any time from your Wix dashboard. Cancellation takes effect at the end of the period you have already paid for.
Refunds are decided by Wix under the Wix App Market terms. We cannot issue refunds directly. If the App has a material malfunction that prevents its core functionality, contact us first at the support address in section 10 so we can try to fix it, and you may also ask Wix for a refund.
We may change prices. We will give you notice through Wix before a new price applies to you.

5. Your data
5.1 Ownership. You own your Customer Data. We do not claim ownership of it.
5.2 Where it is stored. Tidewell stores Customer Data inside collections that belong to the App on your own Wix site. Some information is also held in Wix features that the App uses on your behalf: members and leads are saved as Wix Contacts, services and appointments live in Wix Bookings, and staff sign-in accounts are Wix site members. Wix's privacy practices apply to that data.
5.3 Our role. For the personal data of your members and staff, you are the data controller. Tidewell processes it only to provide the App to you and under your instructions. You are responsible for having a lawful basis to collect and process that data, for giving members the notices and obtaining the consents the law requires, and for answering their requests about their data.
5.4 No sale or sharing. We do not sell your Customer Data and we do not send it to third-party services as part of the App's normal operation. Details are in our Privacy Policy at [PRIVACY POLICY URL].
5.5 Export. Managers can export most Customer Data as CSV files from the Data Backup & Export screen. You are responsible for keeping your own backups. We do not currently offer a one-click tool that erases all data. To request deletion, contact us at denizuyanik@gmail.com.
5.6 Public links. Agreement-signing links and survey links can be opened without signing in. Each carries a random one-time code, and agreement links expire after 24 hours. You are responsible for sending a link only to the member it is meant for.
6. Your responsibilities and acceptable use
You agree that you will:

use the App only for lawful business purposes and in line with these Terms and the Wix terms;
obtain every consent and give every notice that the law requires for the data you record, and for any message you send to members;
not upload unlawful content or content that infringes anyone's rights;
not try to gain unauthorised access to the App, other customers' data or our systems, interfere with its operation, or probe or test its security without our written permission;
not copy, resell, sublicense, reverse engineer or build a competing product from the App, except where the law allows;
not use the App to harass, discriminate against or unlawfully monitor any person.

We may suspend access to the App if we reasonably believe you are breaching these Terms or putting the App or other users at risk. Where practical, we will tell you first.
7. Features that need particular care
7.1 Digital agreements. Tidewell lets you write agreement text, send a signing link and archive the signed copy as a PDF. We do not provide legal advice and we do not review your agreement text. You are responsible for the content of your agreements and for deciding whether an electronic signature is valid and enforceable in your country. Have your own advisers review the text, the privacy disclosure and the consent wording before you use them.
7.2 Payments and cash records. Tidewell records payments, expenses and cash register totals. It does not process card payments, hold funds or act as a payment provider or bank. Amounts and totals depend on what your team enters. You are responsible for the accuracy of your financial records and for your accounting, tax and reporting obligations. The currency selector changes only how amounts are labelled; it does not convert amounts.
7.3 Staff scores, attendance and commission. Tidewell can calculate an automatic performance score, attendance information and commission from data in the App. These figures are aids for management. They may be incomplete or wrong if the underlying data is. They must not be your only basis for decisions about pay, discipline or employment. You are responsible for complying with employment, privacy and monitoring laws that apply to your staff, including any duty to inform staff or obtain their consent.
7.4 Messages and emails. Renewal reminder emails are sent through Wix Automations from the sender name and address you set. You are responsible for making sure you may contact each member, for the content you send, and for honouring unsubscribe and opt-out rules. Messages opened through WhatsApp or your email program are sent by you, not by the App.
7.5 Health and wellness information. The App has fields for notes, goals and fitness levels. Tidewell is not a medical device and does not give medical advice. Do not record sensitive health information unless you have a lawful basis and appropriate safeguards.
8. Third-party services
The App depends on Wix and may link to or interact with other third-party services. We do not control them and are not responsible for their availability, content or policies. Changes or outages at Wix, such as changes to Wix Bookings or Wix Automations, may affect the App.
Wix is not responsible for the App. As Wix itself states in its App Market terms, Wix is not affiliated with and is not responsible for the content, functionality or performance of apps offered by third-party developers. We, the Publisher, are responsible for the App, for supporting it, and for how it handles your data, as described in these Terms and our Privacy Policy. Wix remains responsible for its own services, such as Wix Bookings, Wix Contacts, Wix Members, Wix Automations, hosting your site and billing.
9. Intellectual property
The App, its design, text, graphics, logos and software, and the Tidewell name, belong to us or our licensors. We grant you a limited, non-exclusive, non-transferable, revocable right to use the App for your own business for as long as you have an active subscription and comply with these Terms. All rights not expressly granted are reserved.
You keep all rights in your Customer Data and in your own logo, texts and templates. You give us a limited licence to host, process and display them only as needed to provide the App to you.
If you send us feedback or suggestions, we may use them without obligation to you.
10. Availability, support and updates
We aim to keep the App available and working, but we do not promise uninterrupted or error-free operation. We may carry out maintenance and releases. Some updates need you to remove and re-add the Tidewell Portal widget in the Wix Editor and publish your site; until you do, your published site may keep running the previous version.
Support. We support all users, paying or not, for as long as the App is offered. Contact us at denizuyanik@gmail.com. We aim to reply [within X business days]. Please include your Wix site address, the name of the screen and what you were doing, and, if you can, a screenshot with personal data hidden. We cannot help with questions about Wix's own features; for those, contact Wix support.
11. Disclaimer of warranties
To the fullest extent permitted by law, the App is provided "as is" and "as available". We give no warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, or that the App will meet your requirements or be free of errors, defects or interruptions. Nothing in these Terms excludes rights you have under consumer law that cannot be excluded.
12. Limitation of liability
To the fullest extent permitted by law:

we are not liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill, business or data, arising out of or related to the App or these Terms;
our total liability for all claims relating to the App or these Terms in any 12-month period is limited to the amount you paid us for the App in the 12 months before the event that gave rise to the claim [or USD AMOUNT, whichever is greater].

Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud, or for death or personal injury caused by negligence [adjust to your jurisdiction].
13. Indemnity
You agree to defend and indemnify us against claims, losses and costs (including reasonable legal fees) brought by a third party, such as a member, a staff member or an authority, that arise from your Customer Data, your use of the App in breach of these Terms or the law, or your failure to meet your legal obligations to your members and staff.
14. Term and termination

These Terms apply from the moment you install the App until you uninstall it or we end your access.
You may stop using the App and cancel your subscription at any time through Wix.
We may terminate or suspend your access if you materially breach these Terms, if you do not pay, or if we stop offering the App. If we stop offering the App, we will give you reasonable notice where we can.
After termination your right to use the App ends. Export the data you need before you uninstall.
Sections that by their nature should continue (including ownership, disclaimers, limitation of liability, indemnity and governing law) continue after termination.

15. Changes to these Terms
We may update these Terms from time to time. If a change is material, we will tell you by email, through Wix, or inside the App, and we will update the "Last updated" date. If you keep using the App after a change takes effect, you accept the updated Terms. If you do not agree, stop using the App and cancel your subscription.

16. General

Entire agreement. These Terms, together with our Privacy Policy and the Wix terms that apply, are the whole agreement between you and us about the App.
Severability. If a provision is found unenforceable, the rest stays in force.
No waiver. Not enforcing a right is not a waiver of it.
Assignment. You may not transfer your rights under these Terms without our written consent. We may transfer ours as part of a business sale or reorganisation.
Notices. We may give notice by email, through Wix or inside the App. You can reach us at the contact details below.
Language. These Terms are written in English. A translation is provided for convenience; if they differ, the English version prevails.
